1. Acceptance of Terms

Welcome to Picard.Law. These Terms and Conditions (“Terms”) govern your access to and use of the Picard.Law platform, website, and services (collectively, the “Service”) operated by Picard.Law (“we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Important: These Terms constitute a legally binding agreement between you and Picard.Law. Please read them carefully before using our Service.

Age Requirement: You must be at least 18 years old to use this Service. By using the Service, you represent that you are of legal age to form a binding contract.

2. Description of Service

Picard.Law is an AI-powered legal document analysis platform that provides:

  • Document Upload & Processing: Upload PDF, DOCX, and other document formats for AI analysis
  • Knowledge Graph Construction: Automatic extraction of entities, relationships, and structured data stored in Neo4j
  • Semantic Search: Vector-based search across your document corpus using embeddings
  • AI-Powered Q&A (GraphRAG): Ask natural language questions and receive cited answers from your documents
  • Entity Extraction: Automatic identification of parties, dates, clauses, obligations, and key terms
  • Real-Time Processing: WebSocket-based status updates during document processing
  • Citation Validation: AI-generated responses include verifiable citations to source documents

The Service is designed for legal professionals, law firms, corporate legal departments, compliance teams, and organizations that require intelligent document management and analysis capabilities.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information (name, email, company)
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach
  • Use a valid business email address (not temporary or disposable emails)

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We implement industry-standard security measures including:

  • Password Security: Passwords are hashed using bcrypt with secure salting
  • Encryption in Transit: TLS 1.3 encryption for all network communications
  • Encryption at Rest: AES-256 encryption for stored data
  • Access Controls: Role-based access controls with organization isolation
  • Session Management: Secure token-based authentication via Supabase Auth
  • Activity Logging: Comprehensive audit logs of account activity

3.3 Organization Accounts

For team and enterprise plans, an organization administrator may invite team members. The administrator is responsible for:

  • Managing team member access and permissions
  • Ensuring team members comply with these Terms
  • Removing access for terminated employees

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer multiple subscription plans to meet different needs:

4.2 Billing Terms

Paid subscriptions are billed on a monthly or annual basis. By subscribing to a paid plan:

  • You authorize us to charge your payment method (Stripe, PayPal, or Razorpay) for recurring fees
  • Billing occurs automatically until you cancel
  • Monthly subscriptions renew on the same day each month
  • Annual subscriptions renew on the anniversary of your subscription start date

Annual Billing Discount: Annual subscriptions include a 20% discount compared to monthly billing. Annual fees are charged upfront for the full year.

4.3 Credit Packages

In addition to subscription plans, you may purchase credit packages for additional capacity:

  • Page Credits: Additional document processing capacity
  • Query Credits: Additional AI query capacity
  • Bundle Packages: Combined page and query credits at discounted rates

Purchased credits are non-refundable and expire 90 days from purchase date unless otherwise specified. Credits are consumed after your monthly subscription allowance is depleted.

4.4 Price Changes

We reserve the right to modify pricing with 30 days' advance notice. Price changes will not affect your current billing period but will apply to subsequent renewals. You may cancel before the new pricing takes effect.

4.5 Failed Payments

If a payment fails, we will:

  • Attempt to charge your payment method up to 3 times over 7 days
  • Send email notifications about the failed payment
  • Downgrade your account to Free tier if payment remains unsuccessful
  • Retain your data for 30 days to allow payment resolution

5. Refund Policy

5.1 Subscription Refunds

  • Monthly Subscriptions: No refunds for partial months. You retain access until the end of your current billing period.
  • Annual Subscriptions: Pro-rata refunds available within the first 30 days of purchase. After 30 days, no refunds but you retain access for the remainder of the year.
  • Downgrades: When downgrading, you retain access to your current plan until the end of the billing period. No refunds for the difference.

5.2 Credit Package Refunds

Purchased credit packages are non-refundable. Unused credits expire according to package terms (typically 90 days).

5.3 How to Request a Refund

To request a refund, contact us at billing@picard.law with your account email and reason for the refund request. We process refund requests within 5-10 business days.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

6.1 Prohibited Activities

  • Upload documents containing malware, viruses, trojans, or harmful code
  • Attempt to gain unauthorized access to the Service, other accounts, or systems
  • Use the Service to violate any applicable laws, regulations, or third-party rights
  • Upload content that infringes intellectual property rights of others
  • Reverse engineer, decompile, disassemble, or attempt to derive source code
  • Use automated scripts, bots, or scrapers without express written permission
  • Interfere with or disrupt the Service, servers, or networks
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to process documents for illegal activities
  • Circumvent usage limits, rate limits, or security measures
  • Upload documents containing illegal content (child exploitation, terrorism, etc.)
  • Use the Service for competitive analysis or to build competing products

6.2 Content Restrictions

While we do not actively monitor uploaded content, we reserve the right to remove content and terminate accounts that violate these Terms.

6.3 Rate Limiting

To ensure fair usage for all users, we implement rate limiting on API requests and document processing. Exceeding rate limits may result in temporary throttling or suspension.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its original content, features, functionality, user interface, and the underlying technology (excluding user-uploaded content), is owned by Picard.Law and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Picard.Law name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Picard.Law. You may not use these marks without our prior written permission.

7.2 Your Content

You retain all ownership rights to documents and content you upload to the Service. By uploading content, you grant us a limited, non-exclusive, royalty-free license to:

  • Process and analyze your documents using our AI systems for the purpose of providing the Service
  • Store your content on our secure servers and backup systems
  • Create derivative data (entity extractions, embeddings, knowledge graphs) for search and analysis functionality
  • Display your content back to you within the Service
Zero Training Data Guarantee

We do NOT use your documents to train AI models. Your data remains private and is only used to provide the Service to you. All AI processing is performed via secure API calls with zero data retention by AI providers.

7.3 Feedback

Any feedback, suggestions, ideas, or recommendations you provide about the Service may be used by us to improve the Service without any obligation to compensate you. By submitting feedback, you grant us a perpetual, irrevocable, worldwide license to use such feedback.

8. AI Processing and Technology

8.1 AI Models Used

Our Service uses multiple advanced AI models for document processing and analysis:

8.2 AI Processing Guarantees

By using the Service, you acknowledge and agree that:

  • Document content is processed by AI systems via secure API connections
  • AI outputs are generated for informational purposes and should NOT be considered legal advice
  • We use enterprise API agreements with zero data retention by AI providers
  • All AI processing is encrypted in transit (TLS 1.3) and logged for audit purposes
  • We use Ollama-based cloud infrastructure for secure LLM inferencing
  • Your documents are NEVER used to train or fine-tune AI models

8.3 AI Output Accuracy

While we strive for high accuracy, AI systems can make errors. You acknowledge that:

  • AI-generated outputs may contain inaccuracies or hallucinations
  • Citations should be verified against source documents
  • You are responsible for reviewing and validating AI outputs before relying on them
  • AI outputs do not constitute legal, financial, or professional advice

8.4 Data Storage Infrastructure

Your documents and data are stored on secure cloud infrastructure:

  • Primary Database: Supabase (PostgreSQL) with Row Level Security
  • File Storage: AWS S3 with private ACLs and encryption
  • Knowledge Graph: Neo4j AuraDB with encrypted connections
  • Vector Store: Embeddings stored with 768-3072 dimensions
  • Backups: Automated daily backups with point-in-time recovery

9. Service Level and Availability

9.1 Uptime Target

We target 99.9% uptime for the Service, excluding scheduled maintenance windows. Scheduled maintenance will be announced at least 24 hours in advance when possible.

9.2 Service Interruptions

The Service may be temporarily unavailable due to:

  • Scheduled maintenance and updates
  • Emergency security patches
  • Third-party service provider outages (cloud infrastructure, AI providers)
  • Force majeure events

9.3 Support

Support is available via email at support@picard.law. Response times vary by plan:

  • Free: Best effort, typically within 5 business days
  • Solo Pro/Team: Within 2 business days
  • Business: Within 1 business day
  • Enterprise: Priority support with dedicated account manager

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the fullest extent permitted by applicable law, we disclaim all warranties including:

  • Warranty that the Service will be uninterrupted, timely, secure, or error-free
  • Warranty regarding the accuracy, reliability, or completeness of AI-generated outputs
  • Warranty that the Service will meet your specific requirements or expectations
  • Warranty that defects will be corrected
  • Warranty that the Service is free of viruses or other harmful components

The Service provides document analysis tools and AI-assisted insights for informational purposes only. It does NOT constitute legal advice, and the AI outputs should not be relied upon as such. You should always consult qualified legal professionals for legal matters. Picard.Law is a technology platform, not a law firm.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • No Consequential Damages: Picard.Law shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses.
  • No Liability for AI Outputs: We are not liable for any decisions made or actions taken based on AI-generated outputs, including any errors, inaccuracies, or omissions in such outputs.
  • No Liability for Third-Party Services: We are not liable for failures or outages of third-party services (AI providers, cloud infrastructure, payment processors).
  • Cap on Liability: Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such cases, our liability will be limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Picard.Law and its officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service or any activity under your account
  • Your violation of these Terms or any applicable laws
  • Your violation of any third-party rights (intellectual property, privacy, etc.)
  • Content you upload to the Service
  • Any dispute between you and a third party related to the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in your account settings
  • Contacting us at support@picard.law

Upon termination:

  • Your right to access the Service ceases immediately
  • Unused subscription time is handled per our Refund Policy (Section 5)
  • Your data will be retained for 30 days, then permanently deleted
  • You may request immediate data deletion or export before termination

13.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, if you:

  • Breach these Terms or the Acceptable Use Policy
  • Engage in fraudulent, abusive, or illegal activities
  • Fail to pay subscription fees after multiple attempts
  • Pose a security risk to the Service or other users
  • Provide false information during registration

13.3 Effect of Termination

Upon termination, the following provisions survive: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

14. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • We do not use your documents to train AI models
  • We implement industry-standard security measures
  • You can request data export or deletion at any time

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Picard.Law is incorporated, without regard to conflict of law principles.

15.1 Dispute Resolution

Any disputes arising from these Terms shall be resolved through the following process:

  1. Informal Resolution: Good faith negotiation between the parties for at least 30 days
  2. Mediation: If unresolved, non-binding mediation by a mutually agreed mediator
  3. Arbitration/Litigation: If still unresolved, binding arbitration or litigation in courts of competent jurisdiction

15.2 Class Action Waiver

To the extent permitted by law, you agree that any disputes will be resolved on an individual basis, and you waive your right to participate in class action lawsuits or class-wide arbitration.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on this page with a new “Last Updated” date
  • Sending email notification to your registered email address for significant changes
  • Displaying a prominent notice within the Service

Continued Use: Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Picard.Law regarding the Service and supersede all prior agreements, understandings, and communications.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Picard.Law.

17.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, internet failures, or third-party service outages.

17.6 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.
